A Munich-headquartered manufacturing group asked us to structure its acquisition of a London-based distributor, its first acquisition outside the eurozone. The client wanted a structure that would not create an unnecessary tax drag on future dividends back to Germany, and that would survive scrutiny from both German and UK tax authorities.
We recommended and built a Malta holding layer between the German parent and the UK target, sequenced so that the tax residency certificate and the acquisition completion happened in the correct order, a detail that would have changed the tax outcome entirely if reversed. The structuring advice was delivered with a written implementation timeline the client's own tax team could follow independently.
The acquisition completed with the structure functioning exactly as modelled, and the client has since asked us to review its wider European holding structure in light of the result.
