Crownstone Advises Investor Consortium On AED 480M Dubai Waterfront Acquisition

Crownstone Advocates has advised a European investor consortium on the AED 480 million off-plan acquisition and freehold structuring of a Dubai waterfront development, one of the larger real estate transactions the firm's real estate team has completed to date.

The transaction required coordinated due diligence on the developer's project registration and escrow compliance, structuring of the consortium's holding vehicle to properly reflect each investor's position, and close attention to how the acquisition interacted with each investor's broader Malta and EU tax position.

"This was a genuinely cross-border transaction from day one," said Alexander Brown, who led the real estate advisory work. "The investors needed a structure that worked cleanly under UAE freehold rules and made sense from a European tax and succession perspective at the same time."
