Regulatory Update — 30 July 2026

New Fund Licensing Rules Reshape Cross-Border Structuring

New Fund Licensing Rules Reshape Cross-Border Structuring
Regulatory changes affecting fund licensing across both the EU and the UAE are reshaping how cross-border investment vehicles need to be structured, with increased emphasis on genuine local substance and more active ongoing disclosure obligations for fund managers operating across multiple jurisdictions.
For clients running or investing in funds structured through Malta or the DIFC and ADGM, this means existing structures built even a few years ago may need a fresh look, particularly around substance requirements and how beneficial ownership is disclosed to regulators on both sides.
Our banking and financial services team is advising a number of existing fund structures through this transition, reviewing current arrangements against the updated requirements and, where necessary, adjusting substance and governance arrangements to keep pace with what regulators now expect.
